Terms and Conditions of Sale
1. Purpose and publisher
These Terms and Conditions of Sale (TCS) apply to the sale of UserNest software licenses offered by the publisher of the usernest.fr website. By placing an order, the customer accepts these TCS without reservation.
2. Products and orders
UserNest offers two types of licenses: the Consumer version (9.99 €) sold exclusively via Microsoft Store, and the Pro version (39 € per license) for IT professionals, orderable via the site's contact form. Pro version orders are formalized by sending a quote and its acceptance by the customer. Prices are in euros including tax.
3. Price and payment
Prices are in euros including tax. For the Store version, payment is made directly via Microsoft Store according to Microsoft's terms. For the Pro version, payment is made on quote (bank transfer or other agreed means). The order is only validated after receipt of payment.
4. Delivery and provision
Store version: the software is available for download immediately after purchase from Microsoft Store. Pro version: after payment, download instructions and license key are sent by email. Provision is effective within 48 business hours of receipt of payment.
5. Right of withdrawal
In accordance with applicable consumer law (EU Directive 2011/83/EU), the right of withdrawal cannot be exercised for digital content not supplied on a tangible medium when performance has begun with the consumer's prior consent. Downloadable software is covered once the download has been completed. For the Microsoft Store version, Microsoft's withdrawal conditions apply.
6. Warranties
The customer benefits from legal warranties of conformity and against hidden defects. In case of non-conformity, the customer has two years to take action. The warranty does not cover damage resulting from misuse or installation that does not meet specifications (Windows 10/11 64-bit).
7. Intellectual property
UserNest and all associated elements (source code, interface, trademarks) are protected by intellectual property law. License purchase confers a personal, non-exclusive right to use the software, without transfer of ownership. Any unauthorized reproduction, representation or exploitation is prohibited.
8. Liability
The publisher undertakes to provide software that conforms to its description. Its liability is limited to the amount of sums actually paid by the customer for the disputed license. The publisher cannot be held liable for data loss resulting from use of the software; the customer is advised to test backups regularly.
9. Personal data
Data collected in the context of orders (Pro version) is processed in accordance with the site's privacy policy and GDPR. It is used for order management and customer relations. The customer has the right to access, rectify and delete their data.
10. Complaints and mediation
For any complaint, the customer may contact the publisher via the Contact page. In case of persistent dispute, the customer may resort to consumer mediation. A consumer mediator may be designated by the publisher upon request.
11. Applicable law and jurisdiction
These TCS are governed by French law. Any dispute shall fall under the exclusive jurisdiction of French courts.
